SAS is certified according to ISO 9001:2015 and works in accordance with the company’s internal standards, the Quality Manual and processes.
Changes, Delays
Any changes to the assignment or major changes to the object/s requested by the customer and/or any delays after the project’s start not caused by SAS may delay the project’s execution by SAS. Any such changes can only be accepted and processed after a commercial agreement.
The change process starts from the moment the contract is signed or, as the case may be, from the moment the purchase order is received.
SAS commits itself to doing everything in its power to make up for delays regardless of who caused them.
All project partners involved must provide the necessary input information for the project in such a way that the project can be completed according to the schedule. If SAS is unable to execute its part of the project due to a lack of technical input from a project partner, SAS will not be responsible for the resulting delay.
Regardless of the foregoing, SAS will support the project partners in solving any relevant problems as much as possible.
The customer must provide all required underlying information (technical specifications, 3D models, etc.) in good time before the project’s start. If this handover does not take place, the schedule will be delayed accordingly.
Project Cancellation
If the project should be cancelled by the customer during the execution period, the customer undertakes to pay all of the costs incurred until the end of the month in which the project was cancelled. SAS must be informed of the project’s cancellation in writing.
If the project should be continued at a later time, both contractual partners will determine the costs and schedule for the continuation in close consultation.
Sub-Suppliers and Third-Party Companies
If necessary, SAS is permitted to communicate also with the customer’s suppliers and – under confidentiality conditions – to use sub-suppliers itself.
Court of Jurisdiction and Governing Law
The contract and its interpretation are governed by the Swiss law. The court of jurisdiction is the local court within whose jurisdiction the registered office of SAS is situated.
Warranty, Liability
The work will be carried out by qualified specialists to the best of their knowledge and belief.
SAS guarantees the perfect quality of the above-described subject of delivery for a period of 24 months after the final delivery. The place of performance of the warranty is limited to SAS locations. The scope of the warranty is limited to rectification of any defects in the delivered services; any expenses incurred in the implementation or by third parties or any other expenses incurred in this context are explicitly excluded.
The liability of SAS arising from or in connection with this subject of delivery, regardless of its legal basis, is limited to 10 % of the respective purchase order value. SAS is only liable for such use of its work results within the scope of the subject of delivery for which these are delivered.
In no event shall SAS be liable for any consequential loss, including – but not limited to – production costs or lost profits and/or any other claims regardless of their legal basis. The above-agreed limitation of liability also applies in the event of any claims by the customer for indemnification from third-party claims.
This limitation of liability on the part of SAS shall not apply, if SAS has acted with wilful intent, gross negligence and/or in violation of any other duties pursuant to the mandatory provisions of law.
In other respects, SAS is liable within the framework of the provisions of law.
